A MOUSE IN THE GARDEN? DISNEY, FOX SHOW INTEREST IN MSG

          Walt Disney Co. and News Corp. have approached Hilton
     about buying half of MSG if Hilton's bid to buy ITT is
     successful, according to Jon Elsen of the N.Y. POST.  The
     two companies, as well as Westinghouse, have also approached
     ITT about MSG, but Westinghouse hasn't expressed its
     interest to Hilton.  Elsen writes Disney "would be forced to
     choose" between its Mighty Ducks and the NHL Rangers, "since
     it would not be allowed to own both" (N.Y. POST, 2/21). 
          SPARE ANY CHANGE?  The DAILY NEWS' Douglas Feiden
     examines Cablevision's interest in ITT's MSG stake, noting
     the "debt saddled company is scrambling to sell off cable
     systems -- lining up bank financing" and "tapping credit
     lines and searching" for an investment partner for a
     possible purchase.  One "longshot scenario" has Cablevision
     considering "unloading most of its cherished cable systems -
     - including the lucrative metro New York system" (N.Y. DAILY
     NEWS, 2/21).  The TIMES' Richard Sandomir writes "Call it a
     tiff or a feud, but one thing is undeniable:  ITT and
     Cablevision Systems, the once happy owners of Madison Square
     Garden, have developed a rift" (N.Y. TIMES, 2/21).
          NEW SUIT:  MSG was sued for $600,000 by the nonprofit
     Community for Education Foundation, whose founders include
     politician Jack Kemp, for allegedly failing to sell lower-
     priced tickets for a '96 fund-raising event called the
     "Campaign for Kids Basketball Challenge" (NEWSDAY, 2/21).
