MARQUEE MERGER WITH SFX TO BE AMENDED AFTER STOCK DROP

          SFX Entertainment and The Marquee Group (TMG) will
     "change the terms" of their deal "struck before the stock
     market's dramatic sell-off in recent weeks," according to
     Richard Morgan of DAILY VARIETY.  Though SFX "still plans to
     acquire" TMG, the initial $100M stock agreement "has been
     shaved by nearly half."  In the original deal, TMG
     shareholders were to receive between $6 and $6.30 in SFX
     stock for each share tendered.  In the new deal they will
     receive .111 shares of SFX stock in an exchange valued at
     around $3.15 a share at the market's close Monday.  The
     stocks of both companies "are down considerably" from their
     yearly highs: SFX closed Monday at $28.31, down from a high
     of $56 in July; TMG closed at $2.50 after climbing to almost
     $6.50 during the summer (DAILY VARIETY, 10/20).
