          BACKGROUND: American Skiing Company (ASC) was formed in
     '96 and owns nine resorts, including Attitash Bear Peak
     (NH), Heavenly (NV/CA), Killington (VT), Mount Snow (VT),
     Steamboat (CO), Sugarbush (VT), Sugarloaf-USA (ME), Sunday
     River (ME) and The Canyons (UT).  These exclusive sponsors
     obtain rights to all ASC Resorts, except where noted.  ^ =
     had relationships with individual resorts (or its parent
     company) prior to the formation of ASC.  ^^ = partners of
     ASC's Eastern resorts only.  Coca-Cola is the official soft
     drink of Steamboat.  ASC execs tell THE DAILY that deals in
     the QSR and footwear/apparel categories are pending.
