SFX AND MARQUEE ALTER TERMS OF DEAL AFTER SHAREHOLDERS ANGRY

          SFX Entertainment "has amended its merger agreement"
     with The Marquee Group (TMG) to "appease litigious
     shareholders," according to Richard Morgan of DAILY VARIETY. 
     The revised deal "sweetens the amount Marquee stockholders
     will receive for tendering their shares, by a sliding scale
     based on SFX's stock price, not to exceed 156,000 shares." 
     SFX and TMG were both sued by some TMG shareholders
     "alleging that the terms of the merger were unfair" to TMG 
     shareholders.  The new deal was to "induce" shareholders to
     withdraw their suits and "refrain from further legal
     action."  SFX stock has dropped from "around" $55 a share at
     the time of the deal in July, to the mid-$20s, when it was
     "initially revised."  TMG's stock had dropped from $6 to
     under $1 over the same period.  But the stocks have "since
     recovered," with SFX closing at $56.12 yesterday and TMG
     closing at $4.38 (DAILY VARIETY, 1/27).
