CONVERSE FILES REGISTRATION STATEMENT FOR SALE OF STOCK

3.25.1997

          MA-based Converse Inc. filed a registration statement
     with the SEC for the public offering of 4.5 million shares
     of its common stock.  The managing underwriters for the
     offering are Smith Barney; Dillon Read & Co.; and Donaldson,
     Luftkin & Jenrette Securities (Converse).  Converse will use
     the profits from the offering, expected to be $88-$102M,
     toward borrowing and credit repayment.  Converse will hold
     21.7 million shares outstanding following the offering (WALL
     STREET JOURNAL, 3/25).
