American-Ares Capital Merger Will Have No Direct Impact On SMG

The definitive merger agreement between American Capital and Ares Capital will have no direct impact on facility management firm SMG, said SMG Exec VP/Stadiums & Arenas Doug Thornton. Ares Capital, an investment fund founded by Hawks co-Owner Tony Ressler, last week announced it would acquire American Capital for $3.4B in a cash-and-stock deal. American Capital, a publicly-traded private equity firm, had owned SMG since '07. American Capital in '14 transferred SMG to a new fund called American Capital Equity III, which is not controlled by Ares, financial sources said. The agreement is still subject to regulatory and shareholder approval. If approved, Ares would be a limited partner in American Capital Equity III, sources said.
